Terms of Service

These terms apply between FormaItalia B.V. and anyone who uses this website, sends an enquiry through it or engages the firm. They cover what we do and what we leave to others, how an engagement starts, how invoices are paid and refunded, and the rules that apply to both sides.

Who we are and when these terms apply

This website and the services it describes are provided by FormaItalia B.V., trading as FormaItalia, Via Roma 78, 20121 Milano MI, Italy. You can reach us at info@company-formation-in-italy.com or on +39 02 999 8888, Monday to Friday, 09:00 to 18:00, Milan time.

These terms apply to three groups: visitors who read the site, people who send an enquiry or the onboarding questionnaire, and clients. For a client, the written proposal or engagement letter of that engagement sits beside these terms. Where the two differ on a point, the signed document governs that engagement.

What we do, and what we leave to others

FormaItalia helps foreign groups and founders choose an Italian structure, prepares its documents and coordinates the people who must act. We are not a law firm, a notary, a dottore commercialista (chartered accountant), a revisore legale (statutory auditor), a consulente del lavoro (employment consultant), a società fiduciaria (fiduciary company) or a bank, and our people hold none of those titles.

Information on this site

The guides and service pages give general information on Italian law and practice as it stood on the date each page shows. They are not advice for a particular case, and reading or relying on them creates no engagement. Figures of law carry their source on the page where they appear. The law changes, so check the position for your own case with us or your own adviser before you act.

From an enquiry to an engagement

How an engagement starts

The contact form, the enquiry form on the home page, a Request on the ready-made list and the onboarding questionnaire ask for a conversation. None of them creates an engagement or a purchase, and none commits the sender to anything.

After the first conversation and the identity checks, we send a written proposal. It sets out the scope, the people who will act, our fees, and the state charges and other professionals' fees as separate lines, with who pays each. The engagement starts when the client accepts the proposal in the way the proposal states.

Prices are given on request and in the proposal; this site shows no price for a service. Our list of ready-made companies is the one exception: it shows each listed company's price, and it changes as companies are reserved and sold. A Request asks about one company and does not reserve it; a company is reserved only on the terms of the proposal that follows. The transfer is completed by a notarial or digitally signed deed, as the table above shows.

What we need from you

We need accurate and complete information, and news of any change. We ask for the identity, ownership and source-of-funds documents that client identification requires after the first contact (the onboarding questionnaire takes no files), and we handle them as our Privacy Policy sets out. The decisions on the structure stay yours. We may decline an engagement, or stop one, where the checks cannot be completed, or where a request would need an unlawful act or an act reserved to someone else.

Payments and refunds

We are paid against invoices we issue under an accepted proposal; this site sells nothing by itself. Our online payment page settles those invoices on the terms below.

  • Each payment settles one invoice, whose number is printed on it.
  • Invoice numbers read two to four capital letters, a hyphen, then four or more digits.
  • Online payments are in euro (EUR), from EUR 50 to EUR 50,000 per payment.
  • Card payments run on Stripe Checkout; card details never reach this site.
  • Crypto payments run on the NOWPayments invoice page, where the payer chooses the coin.
  • A payment counts once the processor confirms it; until then the invoice stays open.
  • Other ways to pay, and amounts above the online limit: as the invoice states.

Refunds and cancellation

To ask for a refund, write to info@company-formation-in-italy.com with the invoice number. What is returned when a client cancels an engagement is set out in the proposal the client accepted. Amounts already paid on the client's behalf to the state, or to a notary or another professional who has acted in their own name, have left our hands and are settled with them.

A refund of a card payment goes back to the card that paid, through Stripe. Where the client is a consumer, the rights that consumer law gives a person who contracts at a distance apply and are not limited by these terms.

Time, outcome and responsibility

No guarantee of time or outcome

The Register of Companies, the tax agency, notaries, banks, consulates and supervisory authorities decide on their own timetable and by their own criteria. We do not promise a date, a registration, an approval, a bank account, a licence, a visa or a tax result. Where a proposal gives a time, it is an estimate of our own steps, never of a third party's.

Our responsibility

We answer for our own work, done with the care of a professional firm. The notary, the intermediaries, the enrolled professionals, the authorised fiduciary, the banks and the authorities answer for their own acts, as the table above sets out. We rely on the information the client supplies. Nothing in these terms limits a liability that the law does not allow to be limited, or a consumer's mandatory rights.

Using this site

The site's text, tables and design belong to FormaItalia or are used under licence. You may read, print and share pages for your own use, with the source named; you may not copy the site wholesale, present it as your own, or use it to mislead. Links to official sources are given for your convenience, and the linked content belongs to its publisher. The site may change, or be unavailable at times, without notice. How we handle personal data is set out in our Privacy Policy.

Governing law, disputes and changes

Governing law and courts

The law that governs an engagement, and the courts that hear a dispute about it, are those named in the proposal or engagement letter the client accepted. A consumer keeps the protection of the law of the country where they live, and the right to bring a claim there, where the law gives it.

Complaints and language

Send a complaint to info@company-formation-in-italy.com with the invoice number or the date of your enquiry, and we answer in writing. These terms are written in English.

Changes to these terms

These terms change when our services, the payment methods or the law change, and the "Last updated" date at the top moves with every change. An engagement keeps the terms in force on the day it was accepted, unless both sides agree otherwise in writing.
