Corporate Tax Filing in Italy for Foreign-Owned Companies
Your Italian company's yearly accounts and returns on one dated calendar, each reserved act with the person the law names.
- Accounts to the Register, returns to the Agenzia
- FY2025 return due 2 November 2026 (Agenzia delle Entrate)
- XBRL deposit within 30 days of approval (Art. 2478-bis c.c.)
- Returns sent by the company or an Art. 3(3) intermediary
An Italian S.r.l. files its accounts and its returns online each year.
Filing that follows the structure
From Milan, FormaItalia keeps the books of a foreign-owned Italian S.r.l., prepares its accounts, returns and F24 payments, and holds the dated calendar, as part of our accounting and compliance service. Each reserved act stays with the person the law names.
The filing runs on two tracks: the members approve the accounts, deposited at the Register of Companies; the returns go to the Agenzia delle Entrate and start its assessment clock. Who signs, who transmits and the load itself are fixed by decisions taken before the deed.
What's included
Eight deliverables: we prepare, the persons the law names perform.
The books, kept all year
Day book, inventory book, VAT registers and auxiliary records (Art. 14 D.P.R. 600/1973, to 31 December 2026), kept electronically (Art. 7 D.L. 357/1994, to 31 December 2026).
Annual accounts and the XBRL file
The draft bilancio d'esercizio (annual accounts) in the format the company qualifies for, under the Civil Code and OIC standards, with its XBRL file.
The deposit file
Ready for the legal representative, or a Section A or B member of the Albo dei dottori commercialisti e degli esperti contabili they appoint (Art. 31 L. 340/2000).
The returns, prepared
The Modello Redditi SC (corporate income tax return), the IRAP return and the annual VAT return. No VAT number yet: partita IVA for foreigners.
Withholding-agent returns
Certificazione Unica (CU) and Modello 770 data, dividend withholding included (Art. 4 D.P.R. 322/1998). Payroll formalities, when the employer does not run them itself or through its own staff, are reserved (Art. 1 L. 12/1979): hiring a first employee through an Italian S.r.l..
Payments on one calendar
The modello F24 (single payment form) computed for the books charge, the IRES balance and advances, and the diritto annuale (annual chamber fee).
The group layer
Arm's-length intra-group prices (Art. 110(7) TUIR, as in force in 2026) and, where a transfer-pricing file is held, its communication in the return.
Coordinated, not performed
Transmitting a return (the company, or a person on the Art. 3(3) D.P.R. 322/1998 list), the professional deposit, the audit and payroll stay with the persons named.
Decisions that fix the yearly filing load
Each choice carries legal conditions, settled with you before the deed. Taking over an existing S.r.l. instead: the ready-made companies page.
| Decision | Options and their conditions | Basis |
|---|---|---|
| Subsidiary or branch | A subsidiary files on both tracks: accounts at the Register, returns at the Agenzia. A branch keeps separate books and a separate statement, given a certain date by the return deadline from the tax period in progress at 31 December 2026; its own Register duty is not stated here | Art. 14 D.P.R. 600/1973 (to 31 December 2026); Art. 152 TUIR as in force in 2026; Art. 19 D.Lgs. 148/2026 |
| The legal representative and where they live | They sign the return, appoint the professionals and need a digital signature. SPID through the Milan chamber needs an Italian identity card, which a foreign citizen obtains only with a residence permit | Art. 1(4) D.P.R. 322/1998; Milan chamber |
| The digital signature | A qualified signature from an EU provider is recognised in every Member State. The Milan chamber's device needs an identity check, an Italian tax code, a smartphone and an email address | Art. 25 Regulation (EU) 910/2014; Milan chamber |
| Who transmits and who deposits | The company itself, or a person on the closed list, transmits the returns. The directors, or a Section A or B Albo member appointed by the legal representatives, deposit the accounts | Art. 3(3) D.P.R. 322/1998; Art. 31 L. 340/2000 |
| Accounts format and audit exposure | Micro accounts where, in the first year or then for two consecutive years, two of three limits are not exceeded: EUR 220,000 assets, EUR 440,000 revenue, 5 employees; a company moves up after the second consecutive year over two. Abbreviated on the same test at EUR 5,500,000, EUR 11,000,000 and 50. A control body or auditor once one of EUR 4,000,000 assets, EUR 4,000,000 revenue or 20 employees is exceeded for two consecutive years | Arts. 2435-bis, 2435-ter, 2477 c.c. |
| Reporting basis | Civil Code and OIC standards within the abbreviated limits; IFRS only for the companies the IFRS decree lists; a reconciliation to the group pack is separate | Art. 2 D.Lgs. 38/2005 |
| Group size and pricing file | Intra-group prices at arm's length; a Masterfile and Documentazione Nazionale (local file), communicated in the return and handed over at an audit, keep the 70% penalty off an adjustment. The global minimum tax reaches groups with EUR 750 million of revenue in two of the four preceding years | Art. 110(7) TUIR (2026 text); Art. 1(6) D.Lgs. 471/1997 (to 31 December 2026); Arts. 9, 10 D.Lgs. 209/2023 |

Problems we solve
Where the filing year breaks, and how we handle it.
A director who lives abroad
SPID needs an Italian identity card, given to a foreign citizen only with a residence permit (Milan chamber). An EU qualified signature counts EU-wide (Art. 25 Regulation (EU) 910/2014); a non-EU one is open. We plan the route early.
Books or returns behind
Missing books: EUR 1,000 to EUR 8,000 (Art. 9 D.Lgs. 471/1997). A return up to 90 days late is valid with penalties (Art. 2(7) D.P.R. 322/1998); later it is omitted (Art. 1 D.Lgs. 471/1997). Penalty texts run to 31 December 2026. We rebuild the records; the company or an authorised intermediary then files.
Outgrowing the format
One Art. 2477 c.c. limit, such as EUR 4,000,000 of revenue, exceeded two years running brings a control body or auditor. We track it yearly.
A group pack in IFRS or US GAAP
Within the abbreviated limits an S.r.l. reports under the Civil Code and OIC standards (Art. 2 D.Lgs. 38/2005). We reconcile to the group pack separately.
The parent wants the dividend
Only profits in approved accounts can be paid (Art. 2478-bis c.c.). The company withholds a final 26% (Art. 3 D.L. 66/2014) and reports it in its 770; a parent company resident and taxed in an EU or EEA State pays a lower rate on request.
Are the books or a return already late?
The law offers the 90-day line and the amending return; we prepare what is missing first.
Why work with us
Andrea Sala
Tax and Cross-Border Compliance Lead, Milan. Builds each filing calendar and coordinates the intermediary who transmits the returns.
FormaItalia holds no protected title; each reserved act is performed by the person named above.
From our practice
, a worked example (not a client case):** a foreign parent's calendar-year S.r.l., FY2025. We compute the books charge for 16 March, prepare the accounts for approval by 30 April and their deposit, the IRES balance for 30 June, the Redditi SC and IRAP for 2 November 2026, the second advance for 30 November.
Frequently asked questions
Do you file our return and deposit our accounts?
We prepare the returns, the accounts and the XBRL file, and keep the calendar. The company itself, or a person on the closed list of Art. 3(3) D.P.R. 322/1998 (as in force in 2026), transmits the return. The directors, or a Section A or B Albo member they appoint, make the deposit (Art. 31 L. 340/2000).
Can a director who lives abroad sign and file digitally?
A qualified signature from an EU provider is recognised in every Member State (Art. 25 Regulation (EU) 910/2014). The Milan chamber's device needs an identity check and an Italian tax code; SPID needs an Italian identity card, which a foreign citizen obtains only with a residence permit. For a non-EU signature and the Agenzia's own access, the point is open.
How much does the filing service cost?
Our fees are quoted on request once the scope is known: the accounts format, whether a control body exists, which returns the company files, the payroll data behind the CU and the 770, and whether a transfer-pricing file is held. The state's own charges are separate and are listed on this page with their source and year.
What happens if the return or the deposit is late?
A return up to 90 days late is valid, with penalties; later it is omitted: 120% of the tax, minimum EUR 250 (Art. 2(7) D.P.R. 322/1998; Art. 1 D.Lgs. 471/1997, to 31 December 2026). A late Register filing fines the officer EUR 103 to EUR 1,032, a third within 30 days, a third more for undeposited accounts (Art. 2630 c.c.).
What if our books are behind?
Books not kept or not preserved as required are fined EUR 1,000 to EUR 8,000 (Art. 9 D.Lgs. 471/1997, valid to 31 December 2026). A late return is still valid within 90 days, with penalties, and errors are corrected by amending return within the assessment terms. We rebuild the records; the company or an authorised intermediary then files and corrects.
Will the S.r.l. need an auditor or a control body?
Only if it must draw up consolidated accounts, controls an audited company, or exceeds one of EUR 4,000,000 of assets, EUR 4,000,000 of revenue or 20 employees for two consecutive years (Art. 2477 c.c., not amended by D.Lgs. 47/2026). The audit itself is carried out by a registered revisore legale, a service we do not sell.
What does an Italian company file each year, and where?
It files on two tracks. The annual accounts are approved by the members and deposited at the Register of Companies. The returns go online to the Agenzia delle Entrate (Art. 3 D.P.R. 322/1998): the Redditi SC, the IRAP return, the annual VAT return and, for a company that withholds tax, the Modello 770 and the Certificazione Unica.
Who signs an Italian S.r.l.'s corporate tax return?
The legal representative signs it; failing that, whoever administers the company even de facto, or a contractual representative. An unsigned return is null, but the defect is cured if the person signs within 30 days of the Agenzia's invitation (Art. 1(4) D.P.R. 322/1998, as in force in 2026).
Who files the annual accounts at the Register of Companies?
The directors are the officers who must make the filing and who answer for a late one (Art. 2630 c.c.). Registered members of Sections A and B of the Albo dei dottori commercialisti e degli esperti contabili, holding a digital signature and appointed by the legal representatives, may transmit the deposit for the company (Art. 31 L. 340/2000).
When must the accounts be approved and deposited?
The members approve the annual accounts within 120 days of the year end; the deed may allow up to 180 days where the company draws up consolidated accounts or its structure and object require it. The deposit at the Register follows within 30 days of approval, in XBRL with a digital signature (Arts. 2364, 2478-bis c.c.; Registro Imprese).
What is the Redditi SC deadline for financial year 2025?
The last day of the tenth month after year end (Art. 2 D.P.R. 322/1998, as in force in 2026). For a calendar-year company that is 2 November 2026, because 31 October 2026 falls on a Saturday (Agenzia delle Entrate). The Modello 770 term is 31 October; whether the Saturday rule moves it in 2026 is not confirmed.
What does the state charge for the yearly filings?
The books charge is EUR 309.87, or EUR 516.46 above EUR 516,456.90 of capital, by 16 March (Agenzia delle Entrate). The deposit costs EUR 65 stamp duty plus a EUR 60 secretarial fee plus the OIC contribution (Romagna chamber, 2026), so no total is given. The annual chamber fee runs on turnover; no state fee is sourced for the return.
How is an Italian S.r.l. taxed?
IRES is 24% (Agenzia delle Entrate) and IRAP's ordinary rate 3.9% (IRAP 2026 instructions); sector and regional rates are not stated. Dividends to a non-resident bear a final 26% withholding (Art. 3 D.L. 66/2014), reported in the company's Modello 770; an EU or EEA parent company, resident and taxed there, pays a lower rate on request.
Which accounting standard does an Italian S.r.l. use?
An S.r.l. within the abbreviated-accounts limits reports under the Civil Code rules with the OIC standards, not IFRS and not US GAAP. The IFRS decree reaches other companies only where they are not entitled to abbreviated accounts (Art. 2 D.Lgs. 38/2005). A reconciliation to the group's reporting pack is a separate deliverable, planned with the parent's finance team.
Does an Italian company need an accountant?
The law reserves these acts: transmitting a client's return (the Art. 3(3) D.P.R. 322/1998 list), transmitting the accounts deposit (Sections A and B of the Albo), the statutory audit (revisori legali) and payroll formalities the employer does not run itself (enrolled consulenti del lavoro and other listed professionals, Art. 1 L. 12/1979). The company keeps its books through its directors.
