For foreign groups and non-resident founders

Legal Address for an Italian Company

Your registered office set once you decide where the company is run, with its PEC and filings prepared.

  • One registered office per company
  • Filing suspended without a company PEC (Art. 16 D.L. 185/2008, as in force in 2026)
  • Notary files within 10 days (Art. 2330(1) c.c.)
  • Annual chamber fee follows the seat on 1 January

Many capital companies name a professional's office as their registered office (Register of Companies).

A registered office for a foreign group's Italian company

An Italian company's legal address is its sede legale (registered office): as a rule, the place its deed shows as its administrative centre. Each company has one, which the Register of Companies treats as a person's domicile. It is one decision in how a foreign group forms its Italian company.

We take it in order: where the company will be run and by whom; the address models against what each must bear; the title with the host you name or find with us; both PECs; the notary's file for forming an Italian S.r.l..

What the registered office fixes in law

One address feeds five legal tests; the governing law reads the seat of administration instead. The company's notices go elsewhere: to its PEC.

The Register and the chamber

The deed is filed with the Register of the seat's district; the annual fee goes to the chamber of the seat on 1 January (Marche chamber).

The governing law

Read at the seat of administration, not the address: a company is governed by the law of the State where it was incorporated, and Italian law also applies if its seat of administration or main object is in Italy (Art. 25(1) L. 218/1995).

The insolvency court

Proceedings open at the court of the centro degli interessi principali (centre of main interests), presumed at the registered office in the Register (Art. 27 D.Lgs. 14/2019).

Where it is really run

Third parties may rely on a different effective seat (Art. 46 c.c.); the tax office may fix the domicilio fiscale (fiscal domicile) there (Art. 59 D.P.R. 600/1973, as in force in 2026).

Tax residence

An Italian registered office held for the greater part of the tax period is enough on its own, one of three alternative tests (Art. 73(3) TUIR, as in force in 2026).

The VAT places

The VAT start declaration, due within 30 days, states the seat, fiscal domicile, places of activity and where the books are kept (Art. 35 D.P.R. 633/1972, text valid to 31 December 2026).

Rows of numbered metal letterboxes
The address is not the legal inbox: notices go to the company's own PEC.

Problems we solve

Each problem, its rule, our handling.

"Our notices went to a letterbox nobody reads"

The legal inbox is the company's own PEC in Italy. If the Register finds it inactive, the company has 30 days from the Register's request to name a new one; otherwise the address is struck off, with a doubled sanction (Rome chamber: EUR 412.00 reduced). We open it first.

"The incorporation stopped over the director's PEC"

The Milan Register suspends an incorporation without the personal PEC of the sole director or managing director, failing those the chair (Art. 13(3) D.L. 159/2025, Milan chamber). We open it before the deed.

"The tax office summoned our director"

A new VAT number may bring a summons; failure means cancellation and a EUR 3,000 penalty (Art. 11(7-quater) D.Lgs. 471/1997, as in force in 2026). Through our VAT registration for foreign companies service the places are stated as they are.

"The seat is in Italy, the decisions are taken abroad"

Effective seat, fiscal domicile and tax residence are tested separately; the seat review sets them out before the deed.

"Moving the seat cost more than a form"

Within the municipality, a directors' filing; to another, a notary's minute filed within 30 days (Art. 2436(1) c.c.; Rome chamber). The annual fee may move chamber.

Frequently asked questions

What does the state charge for a legal address, and what does your service cost?

None appears for the address itself in the tables read; the charges attach to filings. The deed carries EUR 156 stamp duty and, with cash capital, EUR 200 fixed registration tax; entering it with the single-member notice costs EUR 90 (Romagna chamber, 2026). Milan's 2026 first-year fee: EUR 120. The notary's fee has no official scale. Ours: on request.

Can our registered office be a professional's office or a business centre?

The Register of Companies records that many capital companies name a professional's office in the deed and hold board and members' meetings there. Supplying a registered office to a company is a company-service-provider activity under Art. 1(2)(ee)(3) D.Lgs. 231/2007. No statute we cite defines the hosting contract, so no required terms are stated here.

Does an Italian registered office make the company tax-resident in Italy?

Yes, on its own. A company is resident for income tax if, for the greater part of the tax period, it has in Italy its registered office, its place of effective management or its main ordinary management (Art. 73(3) TUIR, as in force in 2026). The tests are alternatives, so a seat abroad does not exclude residence.

Can a hosted address make the foreign parent taxable in Italy?

The test is the parent's own: a permanent establishment is a fixed place of business through which the non-resident itself carries on its activity in Italy, an office among the examples, a purely preparatory or auxiliary place excluded (Art. 162 TUIR, as in force in 2026). This page draws no conclusion on a subsidiary's own seat.

What happens to a new VAT number at the company's address?

A new number triggers automated risk checks and possible visits; where risk is found, the legal representative is summoned in person. A no-show or a failed check ends in cancellation, a EUR 3,000 penalty and a three-year surety of not less than EUR 50,000 for any new number (Art. 35 D.P.R. 633/1972; Art. 11(7-quater) D.Lgs. 471/1997; as in force in 2026).

Where do official notices go if nobody sits at the address?

To the company's PEC (certified e-mail), which must belong to that company alone. A company without a valid one is given a receive-only address by the chamber, with a doubled sanction, and the Rome chamber says that address can carry tax and judicial acts. The sole or managing director (failing those, the chair) registers a separate personal PEC.

How do we move the registered office later?

Within the same municipality the directors file the new address with no deed: EUR 65 stamp duty and a EUR 30 secretarial fee in the Romagna chamber's 2026 table. To another municipality the members resolve before a notary, who files within 30 days (Art. 2436(1) c.c.). A move across chamber districts changes the chamber that receives the annual fee from 1 January.

Is the legal address the place where the company is run?

Not necessarily. The Register defines it as the place the deed shows as the administrative centre of the company's affairs. Where the effective seat differs, third parties may treat that as the seat too (Art. 46 c.c.), and the tax office may fix the fiscal domicile where the administrative seat is (Art. 59 D.P.R. 600/1973, as in force in 2026).

What is the legal address of an Italian company?

Its sede legale, or registered office: as a rule the place the deed of incorporation shows as the company's administrative centre of affairs. Every business has one and only one, and the Register of Companies treats it as the equivalent of a person's domicile. The company's notices, by contrast, go to its certified e-mail address, the PEC.

What is the format of an Italian registered-office address?

The deed of an S.r.l. names only the municipality of the seat. The application to the Register gives the address with street and house number, and a later change of that address within the municipality is a declaration of the directors (Art. 111-ter disp. att. c.c.). No statute we cite prescribes a postal format beyond that.

How do I find the registered office of a named company?

Run the free company search on the home page of the Register's portal: it shows the address, the PEC, the legal form, the activity and the ATECO code of the seat and of its active local units. A Telemaco search costs EUR 0.60 and an ordinary visura of a capital company EUR 5.00; a visura is not a certificate.

Does a branch of a foreign company need an Italian registered office?

No. The foreign company keeps its own seat abroad; the branch is a secondary seat with a permanent representative, whose powers are published (Art. 2508 c.c.). The Milan chamber has the notary file the branch application online within 30 days of depositing the deed and 45 days of its date; the seat's annual fee is EUR 66.

Can a licensed financial business use any address as its seat?

Its authorising rules set the seat. An e-money institution and an Art. 106 lender need their registered office and head office in Italy; a crypto-asset service provider needs a registered office in a Member State where it carries out part of its services (Art. 59(2) Regulation (EU) 2023/1114). The client applies for the authorisation; we prepare the file.

Which court would open an insolvency proceeding against the company?

The court of its centre of main interests, which for a legal person is presumed to coincide with the registered office shown in the Register and, failing that, with the effective seat of habitual activity (Art. 27 D.Lgs. 14/2019). The article prints no rule for a recent transfer of the seat, so none is stated here.
