S.p.A. Formation in Italy for Capital-Raising Companies
The joint-stock company, EUR 50,000 of capital, for a company that will raise capital.
S.r.l. formation
An Italian S.r.l. whose founder, vehicle and capital route are settled before the notary's deed.
The notary receives the deed of an S.r.l.; every step before it is preparation, which we plan and coordinate with the founder.
For a foreign founder or a foreign parent company forming an Italian società a responsabilità limitata (S.r.l., the private limited company), as part of our company formation service.
Who forms the company, which vehicle that founder may use, the capital and its payment, the directors. You decide; we set out the conditions.
The board resolution naming the signatory, the register extract and the statute. The notary checks the signatory's power and identifies the owners behind the parent.
Form AA5/6 for a corporate founder, filed by a delegate, by PEC, at a booked visit or by post; see the Italian tax code for foreigners.
An apostille or legalisation by the Italian mission, then a certified Italian translation; a power of attorney where needed.
The company's PEC (certified email) and the personal PEC of the sole director, the managing director or, failing those, the chairman, which cannot be the company's own (Art. 13(3) D.L. 159/2025).
A statute drafted for the S.r.l., or the ministerial model for the S.r.l.s.; signed in person, by attorney or by videoconference. The notary receives and files the deed.
One filing (Comunicazione Unica) to the Register, the Agenzia delle Entrate, INPS and INAIL, sent through DIRE, followed to the entry.
The first chamber fee, the beneficial-owner filing as the law words it, the books and first accounts, and the sole-member notice where it applies.
The founder decides which vehicle is open: a foreign parent cannot use the S.r.l.s. The group architecture sits with corporate structuring in Italy.
Who founds the company?
A natural person
one founder or several individuals

Branch of a foreign company not a new company: another page
No branch of the tree is marked as the right one: the choice turns on the founders, the capital plan and the exit.

Which of the three fits turns on the founders, the capital plan and the exit, and is settled with you in a conversation.
What the company pays, and what its foreign parent bears on dividends, under the law in force in 2026.
| Tax | Rate or rule | Who bears it | Source, as in force in 2026 |
|---|---|---|---|
| IRES (corporate income tax) | 24%, whatever the vehicle | The company | Agenzia delle Entrate, IRES page |
| IRAP (regional tax on production) | 3.90% general rate of net production value; regional rates differ | The company | Agenzia delle Entrate, IRAP 2026 instructions |
| Dividends to a non-resident parent | 26% final withholding, unless a treaty or the reduced rate for a company resident and taxed in an EU or EEA state applies; a refund of up to 11/26 of it for foreign tax paid on the same profits | The parent, withheld by the company | Art. 3(1) D.L. 66/2014; Art. 27(3) D.P.R. 600/1973 |
| Dividends to an EU parent holding at least 10%, uninterrupted for at least one year | A refund on request, or non-application at source on request | The parent | Art. 27-bis D.P.R. 600/1973 |
Sources: Agenzia delle Entrate, IRES page and IRAP 2026 instructions; D.L. 66/2014 Art. 3(1); D.P.R. 600/1973 Arts. 27 and 27-bis.
From 1 January 2027 the consolidated income-tax text (D.Lgs. 117/2026) replaces the TUIR provisions and keeps IRES at 24%; the withholding rules above are re-read before any publication from 2027. The participation exemption and the holding layer are planned on the structuring page.
Decisions and documents first, then one session with the notary. The alternative is taking over an existing Italian S.r.l. instead of forming one.

Law

We set the options and their conditions side by side; you decide, then the notary is booked.
A working list, not an official one: the notary has the last word on what it accepts.

A non-EU manager settled abroad must meet the reciprocity condition, covered under the problems below.

No total: the notary's fee has no scale and one Register duty is unproven. Amounts are checked against the seat's chamber table.
Six points where an S.r.l. file goes wrong, and how we handle each.
A sole member answers without limit on insolvency while contributions were unpaid or the publicity missed (Art. 2462(2) c.c.). We plan full payment and the 30-day notice.
Only natural persons may form one, and a quota later sold to a company ends the status (MIMIT opinion, 2016). We set the vehicle against the founder before anything is drafted.
A non-EU manager settled abroad must meet the reciprocity condition, checked by the notary and the chamber (Milan chamber, foreign citizens). We check it first.
A new company's filing without its own PEC is suspended (Art. 16(6-bis) D.L. 185/2008, as in force in 2026), and the director's personal PEC cannot be the company's. We set up both before the notary is booked.
At an in-person deed the capital goes to the management body named in the deed, so no account is legally required first. We plan the bank account of a new Italian company after the entry.
The law sets ceilings: 10 days for the notary, 10 for the Register, 5 if electronic. Tax codes and apostilles come before the deed, so we schedule them first.
The parent's file and the sole-member rules, set out in one plan before the deed.
Formation and Register Lead, Milan. Italian, English, French.
The notary receives and files the deed; we are not a law firm, a notary, a dottore commercialista, a revisore legale or a fiduciary. Milan office, Via Roma 78.
From our practice
we start the corporate founder's tax code and the parent's legalised, translated documents first, because they hold the clock; for a one-member S.r.l. we plan the whole capital at the deed and diarise the sole-member notice (Art. 2470 c.c.).
Not for the deed. An S.r.l. or S.r.l.s. with an Italian seat and cash capital can be signed by videoconference; the notary receives it even if all parties live abroad, but may require presence on doubt (Art. 2 D.Lgs. 183/2021). A foreign individual's first tax code at an Agenzia office needs a visit; a consulate can issue it abroad.
The Civil Code articles on directors set no residence or nationality condition; the director's domicile and citizenship are filed with the Register (Art. 2383(4) c.c.). A non-EU manager settled abroad must meet the reciprocity condition, and one settled in Italy needs a valid residence permit of the listed types (Milan chamber).
Yes, by one founder's unilateral act, the whole capital paid at the deed. Directors file the sole member's details within 30 days. Without full contributions or that publicity, the sole member answers without limit on insolvency; contracts with the member bind creditors only if in the directors' decisions book or a document of certain date before attachment (Art. 2478(3) c.c.).
In practice, yes. The law lets a party with no Italian code be identified by its foreign data and seat, but whether notaries accept that route is open, so we request the code first: form AA5/6 with proof the company exists, by a delegate, PEC, booked visit or registered post. No processing time is published.
At an in-person deed at least 25% of the cash contributions, or the whole amount for one founder, is paid to the management body named in the deed, so no account is legally required first (Art. 2464(4) c.c.). On the videoconference route the capital is wired to the notary's dedicated account. The company's own account follows, at the bank's decision.
Reciprocity is the condition on which a foreigner, or a foreign legal person, enjoys civil rights in Italy (Art. 16 of the preliminary provisions to the Civil Code). The Milan chamber notes that anyone can verify it at the Italian embassy in the home country, and the notary checks it at incorporation. No source sets a time for that answer.
Documents issued abroad need an apostille (Hague Convention states) or legalisation by the Italian mission, then a certified Italian translation. If the parties declare they do not know Italian, the notary may draw the deed in a language the notary and witnesses know, with the Italian translation alongside (Art. 54 L. 89/1913); English models exist for the video route.
The notary files the deed within 10 days (Art. 2330(1) c.c.). The Register enters the company within 10 days of protocol, or 5 for an electronic application (Art. 11(8) D.P.R. 581/1995). The chamber confirms to the company PEC within 5 days and each agency within 7. Tax codes and apostilles have no published term, so no shorter date is promised.
Registration tax of EUR 200 (Art. 26(2) D.L. 104/2013), stamp duty of EUR 156 on the deed and a EUR 90 secretarial fee in the 2026 Romagna chamber tables, then a first annual chamber fee of EUR 120. The notary's fee has no official scale and one Register duty is open, so no total is given.
S.r.l. stands for società a responsabilità limitata, the Italian private limited company. Its members hold quotas (quote) rather than shares, it is formed by notarial public deed, and its standard capital is EUR 10,000 (Art. 2463 c.c.), with a variant from EUR 1 paid in full in cash and topped up through a profit reserve.
The simplified S.r.l.: natural persons only, capital from EUR 1 to below EUR 10,000 fully paid in cash, and a model statute that cannot be varied (Art. 2463-bis c.c.). Its deed owes no stamp duty, secretarial fee or notary fee (Art. 3(3) D.L. 1/2012). A company cannot form one; a quota later sold to a company ends the status.
The S.r.l.s. is closed to companies: only natural persons may form one. The S.r.l. needs EUR 10,000, or from EUR 1 paid in full in cash with a profit reserve (Art. 2463 c.c.). The S.p.A. needs EUR 50,000, with the deposit held by a bank. The choice turns on the founder, the capital plan and the exit, settled in a conversation.
In 2026: IRES 24%, general IRAP 3.90%. A foreign parent's dividends bear 26% final withholding, refundable up to 11/26 for foreign tax (Art. 27(3) D.P.R. 600/1973), unless a treaty or the reduced rate for a company resident and taxed in an EU or EEA state applies. EU parents holding at least 10% for a year may seek relief (Art. 27-bis).
When it prepares consolidated accounts, controls a company that must be audited, or for two consecutive years exceeds EUR 4,000,000 of assets, EUR 4,000,000 of revenue or 20 average employees (Art. 2477 c.c.). The appointment follows within 30 days of the meeting that approves the accounts. The statutory audit is reserved to registered auditors; FormaItalia does not audit.
Keep its PEC and the personal PEC of the sole director, the managing director or, failing those, the chairman; pay the first chamber fee within 30 days of the application; keep books and file accounts within 30 days of approval; make the beneficial-owner filing under Art. 21(1) D.Lgs. 231/2007, for which the chambers report no term running yet.
Tell us who will found the company and how the capital will be paid; we come back with a plan before the notary is booked.
