S.p.A. formation

S.p.A. Formation in Italy for Capital-Raising Companies

An Italian società per azioni (S.p.A., joint-stock company): form, capital and governance decided before the notary's deed, then formed.

  • EUR 50,000 minimum capital (Art. 2327 c.c.)
  • At least 25 percent of cash banked by the signing of the deed (Art. 2342 c.c.)
  • No video deed (Art. 2(1) D.Lgs. 183/2021)

The notary receives the deed; the decisions before it are prepared with you.

What our S.p.A. formation covers

Part of our company formation service, for foreign groups and founders forming a new S.p.A.; an existing company becoming one is covered by restructuring an Italian company.

The decision file

Compulsory or chosen form, capital route, governance system, share terms: each option with its article, set out for your board.

Capital and the bank deposit

The cash share placed with a bank by the signing of the deed and released on registration (Arts. 2342, 2331 c.c.).

Contributions in kind

The court-designated expert's sworn report annexed to the deed, and the directors' 180-day check diarised (Art. 2343 c.c.).

Governance and people

Statute clauses for one of three systems, directors, control-body candidates checked for independence, the registered auditor (Art. 2396-septies c.c.).

Documents and the deed

Tax codes, legalised and translated papers, the attorney's power; the notary files the deed within 10 days (Art. 2330 c.c.).

The first year

The first diritto annuale (annual chamber fee), the books charge by 16 March (Milan chamber), control-body meetings at least every 90 days (Art. 2396-octies c.c.).

What stays with others

The notary receives the deed, a bank holds the deposit, the court designates the expert, a registered auditor audits, you lodge any licence application.

When Italian law requires an S.p.A., and when it is a choice

The law imposes the form for some activities; for the rest, including the Italian CASP and e-money authorisations, it is a choice that stays with you.

The form each activity may or must take, with its article; the law as in force in 2026.

Capital, contributions in kind and shares

Subscribed in full at the deed, paid in as the law requires.

EUR 50,000, subscribed in full

The minimum (Art. 2327 c.c.), all subscribed before formation (Art. 2329). A sole shareholder loses limited liability on insolvency for any period of unpaid contributions or missing sole-shareholder publicity (Arts. 2342, 2362).

Cash goes to a bank first

At least 25 percent of cash contributions goes to a bank at the deed, all of it with one founder; work and services cannot be contributed (Art. 2342 c.c.).

Released on registration, returned after 90 days

The bank releases the sums on proof of registration; with none within 90 days of the deed they return to the subscribers and the deed lapses (Art. 2331 c.c.).

Contributions in kind

Assets or receivables valued under Art. 2343 c.c. need the sworn report of an expert designated by the court of the seat, annexed to the deed; the other routes of Art. 2343-ter are not described here.

The 180-day check

The directors check the valuation within 180 days of registration; until then those shares cannot be sold. A shortfall above one fifth cuts capital proportionally, unless paid in cash or the contributor withdraws (Art. 2343 c.c.).

Shares and their transfer

Certificates may be excluded; bearer shares only once fully paid (Arts. 2346, 2354 c.c.). Transfer may be banned for up to five years (Art. 2355-bis); shareholders' agreements last five years at most (Art. 2341-bis).

Governance since 29 April 2026, the three systems side by side

Since D.Lgs. 47/2026 came into force on 29 April 2026, the statute adopts one of three systems (Art. 2380 c.c.); the choice is yours. A later switch applies from the meeting on the following year's accounts, unless the resolution says otherwise.

The three systems from 29 April 2026 (D.Lgs. 47/2026 Art. 9); "general section" marks rules written for every control body.

Problems we solve

What goes wrong for non-residents, and how the file handles it.

A deed planned as a video signing

The video deed is for the S.r.l. and S.r.l.s. only (Art. 2(1) D.Lgs. 183/2021). We book the notary in person, or prepare a legalised, translated power.

A suspended filing against the 90-day window

A filing without a company PEC is suspended, and registration after 90 days from the deed returns the deposit (Art. 2331 c.c.). We set both PECs first.

An e-money account offered for the deposit

The Civil Code names a bank for the deposit (Art. 2342 c.c.). We line up the deposit with the bank and schedule the deed with the notary once the bank has accepted it.

A control body staffed from the group

A work, continuing-consultancy or paid-services tie that compromises independence bars a seat (Art. 2396-septies c.c.). We check each candidate before the deed.

In-kind shares sold too early

Shares issued for a contribution in kind stay with the company until the directors' check within 180 days of registration (Art. 2343 c.c.). The calendar carries the date.

Why work with FormaItalia

  • Stefano Colombo

Head of Corporate Structuring, Milan. Italian, English, German. Designs the Italian side of foreign groups before anything is filed and coordinates the notary who receives the deed.

We are not a law firm, a notary, a dottore commercialista, a revisore legale or a bank.

From our practice

, a worked example: the 90-day clock.** Illustrative, from the Civil Code and D.L. 185/2008 as in force in 2026, not a client file. The cash share is banked and the deed signed; the notary files within 10 days; the Register suspends the filing for a missing company PEC. Without registration within 90 days of the deed, the deposit returns to the subscribers. So both PEC addresses are set before the deed.

Frequently asked questions

Will you tell us whether an S.p.A. suits our group, and are you a notary or an auditor?

We set out each option with its condition, article and state cost, and prepare the decision file for your board; the decision is yours. FormaItalia is not a notary, a law firm, a registered auditor or a bank: the notary receives the deed, a bank holds the cash deposit and a registered auditor performs the statutory audit (Art. 2396-novies c.c.).

What does an S.p.A. formation cost, and what does the state charge?

Our fee is quoted on request. In 2026 the state charges a registration tax of EUR 200 on a deed with cash contributions (Art. 26(2) D.L. 104/2013), a deed stamp duty of EUR 156 and a secretarial fee of EUR 90, each separately; the Milan chamber's first annual fee is EUR 120. The notary's fee has no official scale.

Do we need an Italian bank before the S.p.A. exists?

Yes, for the cash. At least 25 percent of the cash contributions, all of it where one founder forms the company, is deposited with a bank at the deed (Art. 2342 c.c.). The bank releases it to the directors only on proof of registration, and returns it without registration within 90 days of the deed (Art. 2331 c.c.).

Can we sign the S.p.A. deed remotely by video?

No. The deed by videoconference covers only companies with their seat in Italy and capital paid in cash, that is the S.r.l. and the S.r.l.s. (Art. 2(1) D.Lgs. 183/2021). The S.p.A. deed is signed before the notary, by the founders in person or through an attorney; a power issued abroad is legalised and translated into Italian.

What type of company is an S.p.A. in Italy?

The società per azioni is the Italian joint-stock company: its capital is divided into shares and only the company answers for its debts (Art. 2325 c.c.). A sole shareholder loses that protection on insolvency for the period when contributions were unpaid or the sole-shareholder publicity was missing. Investment firms must take this form; banks take it or the cooperative-by-shares form.

What is the difference between an S.r.l. and an S.p.A. in Italy?

The S.p.A. needs EUR 50,000 of capital against EUR 10,000, a bank deposit of cash at the deed, a deed signed before the notary, not by video, a control body in every case and the audit rule of Art. 2396-novies c.c. Its capital is in shares, which S.r.l. quotas cannot be. IRES is 24 percent for both (Agenzia delle Entrate).

Is an S.p.A. taxed differently from an S.r.l.?

No. IRES is 24 percent for companies, the S.p.A. and the S.r.l. alike, as in force in 2026 (Agenzia delle Entrate), and the consolidated income-tax text of D.Lgs. 117/2026 restates 24 percent from 1 January 2027. The vehicle changes the capital, the governance, the control body and the audit, not the corporate tax rate.

What is the minimum share capital of an Italian S.p.A.?

EUR 50,000 (Art. 2327 c.c.), all subscribed at the deed. At least 25 percent of the cash goes to a bank, all of it where one founder forms the company. Assets in kind count through a court-designated expert's sworn report, save the Art. 2343-ter routes. An e-money institution needs initial paid-up capital of at least EUR 350,000 (Banca d'Italia).

When is an S.p.A. compulsory rather than a choice?

A SIM must be an S.p.A. (Art. 19(1) TUF); a bank an S.p.A. or a cooperative bank by shares (Art. 14(1)(a) TUB); listed or widely held shares exclude the S.r.l. (Art. 2468 c.c.). A crypto-asset service provider, payment or e-money institution may also be an S.r.l. Any authorisation the object needs comes before the deed (Art. 2329 c.c.).

Can we contribute shares, IP or other assets instead of cash?

Yes, with the sworn report of an expert designated by the court of the company's seat, annexed to the deed (Art. 2343 c.c.). The shares issued for the contribution stay deposited with the company and cannot be sold until the directors check the valuation, within 180 days of registration. The registration tax on such a deed is not stated here.

Which governance systems can an S.p.A. adopt since 2026?

Since 29 April 2026 the statute adopts one of three systems (D.Lgs. 47/2026): directors with a collegio sindacale of three or five members plus two alternates; a management board under a supervisory board of at least three; or a board with a control committee. A later switch applies from the following year's accounts meeting, unless the resolution says otherwise.

Who audits an S.p.A. after the 2026 reform?

A registered statutory auditor or audit firm (Art. 2396-novies c.c.). The collegio sindacale may audit only where the statute allows it and the company is not required to prepare consolidated accounts, all its members then being registered auditors. Arts. 2408 and 2409 are repealed from 29 April 2026; shareholders' complaints now sit in Arts. 2396-ter and 2396-quater.

Must directors live in Italy, and can our group's staff sit on the control body?

The Code sets no residence or nationality condition for directors, and non-members may be appointed, for at most three financial years (Art. 2383 c.c.). A control-body seat is barred where a work, continuing-consultancy or paid-services tie with the company or its group compromises independence (Art. 2396-septies c.c.); seats on other group companies' control bodies are not of themselves a bar.

Can the statute stop shares passing to outsiders?

Within limits. The statute may set conditions on the transfer of registered or uncertificated shares and ban it for up to five years; a clause requiring mere approval is ineffective without a purchase obligation or a withdrawal right (Art. 2355-bis c.c.). Shareholders' agreements last at most five years, renewable (Art. 2341-bis c.c.).

What documents does a non-resident founder or parent provide?

Our working list: passports and a codice fiscale for every founder, director and statutory auditor; for a corporate founder, its register extract, statute, board resolution and the representative's power, apostilled or legalised and translated into Italian under oath; the deposit receipt; any expert's report; the auditor's registration details; the director's personal PEC; the beneficial-owner information (Art. 21(1) D.Lgs. 231/2007).
