corporate restructuring
Corporate Restructuring in Italy, from Conversion to Liquidation
Reorganise an Italian company your group already holds, operation by operation, with each article, window and tax effect. You decide; a notary receives the deed.
- Conversion, merger, demerger: no realisation of gains (Arts. 170, 172, 173 TUIR, as in force in 2026)
- Merger deed after a 60-day creditors' window, 30 among S.r.l. only (Arts. 2503, 2505-quater c.c.)
- Each conversion, merger or demerger deed is notarial (Arts. 2500, 2504 c.c.)
- Solvent reorganisation within a group, not insolvency
A notary receives each deed and files it with the Register.
What the restructuring service includes
For a group that holds an Italian company, or is taking over an existing Italian S.r.l. instead of forming one: we map, prepare and coordinate.
Operation map
From the group's goal (simplify the chain, separate a business, change the vehicle, return capital, move the seat, sell quotas, end the structure) to the operations that achieve it.
Plan and reports for the board
The merger or demerger plan (Art. 2501-ter c.c.), the interim balance sheet, the reports or the members' waiver. The directors adopt it.
Notary and filing calendar
The notary engaged for the decision and the deed; each filing within 30 days of its deed, the absorbed company first; the creditors' window diarised.
Tax file with your tax adviser
Neutrality, the loss cap, backdating and the designated beneficiary, under the TUIR as in force in 2026. An independent expert the company designates signs the sworn valuation.
The parent's documents
Statute, certificate of good standing, board resolution and power of attorney, apostilled or legalised, then translated into Italian.
After the operation
The sole-member declaration within 30 days; the personal PEC (certified email) of the sole or managing director, or failing those the chairman, never the company's; the beneficial-owner filing duty.
When the structure ends
A voluntary liquidation, from resolution to cancellation: what the liquidator files and in what order.
What stays with its holder
The notary receives every deed; an independent expert signs valuations; a revisore legale (statutory auditor) audits. Outside this service: insolvency (D.Lgs. 14/2019), cross-border operations, operations of authorised entities.
Operations at a glance: who decides, the creditor window, the tax effect
Who decides, the notary's role, how long creditors can object, and the TUIR rule. The choice is your group's.

Domestic operations only; cross-border operations are not covered. For a group not yet present in Italy, the routes in are set out under opening an Italian branch of a foreign company.
Changes that keep the company: form, capital, seat and members
The company changes but continues: a converted company keeps its rights, obligations and pending proceedings (Arts. 2498, 2500-bis c.c.).
S.r.l. into S.p.A., or back
A notarial deed, filed within 30 days. Into an S.p.A.: EUR 50,000 capital (Art. 2327 c.c.) and the audit rule of Art. 2396-novies c.c., as when forming an Italian joint-stock company.
A partnership into a capital company
The deed carries an expert valuation of the assets. Partners stay liable for earlier debts unless creditors consent, presumed after 60 days without refusal (Art. 2500-quinquies c.c.).
A capital company into a partnership
A notarial deed filed within 30 days; members taking on unlimited liability must consent (Art. 2500-sexies c.c.).
Heterogeneous conversion
To or from a non-company entity. Immediate effect only if the notary declares the conditions in the deed; otherwise 60 days after the last publicity.
S.r.l.s. into an ordinary S.r.l.
No conversion deed: it becomes an ordinary S.r.l. when a legal person acquires a quota, or when a capital increase (itself a notarial minute) takes the capital to EUR 10,000 (MIMIT opinion, 15 February 2016). A new company means forming an Italian S.r.l.
Capital increase and real reduction
No increase while contributions are unpaid (Art. 2481 c.c.). A reduction returning contributions is executed 90 days after the resolution's entry, if no creditor opposes (Art. 2482 c.c.).
Losses and the legal minimum
Losses above a third of the capital: the directors call the members without delay (Art. 2482-bis c.c.). Below the minimum: reduce and raise, or convert; otherwise dissolution (Arts. 2482-ter, 2484 c.c.).
Moving the registered office
Within the municipality, no deed (Art. 111-ter disp. att. c.c.); to another, a notarial minute (Art. 2436 c.c.). Check what must be reachable at the registered office.
Transferring S.r.l. quotas
An authenticated deed filed by the notary within 30 days, or a digitally signed deed filed by an authorised intermediary; effective towards the company from the filing.
How a merger by absorption runs, step by step
A wholly-owned S.r.l. absorbed by its Italian parent. A demerger follows the same order, the demerged company's filing first.

|---|---|---|
| Conversion | not a realisation or distribution of gains or losses on the assets, goodwill included | Art. 170(1) TUIR |

Documents a foreign parent provides
Items 2 to 4 are our practice, not a statute; legalisation works as for the documents a foreign shareholder has to legalise.
- The parent's current statute, apostilled or legalised, with an Italian translation
- A certificate of good standing of the parent company
- The parent's board resolution approving the operation and naming the signatory
- A notarial power of attorney for the representative who attends the notary
- Each Italian company's last accounts, or an interim balance sheet
- Each Italian company's statute and its visura
- A digital signature for each director concerned, and a personal PEC for the sole or managing director (or, failing those, the chairman)

Problems we solve
Where a file stalls, and what we do.
A notary's quote with no scale
No official tariff exists (Art. 9(1) D.L. 1/2012). We brief the notary with the plan and attachments before the fee is agreed.
Documents from abroad that stall the plan
Legalisation or apostille first, then translation. We list the parent's pack before the plan is filed.
A deed signed before creditors could object
Possible only with consent, payment, deposit or an auditing firm's attestation, declared by the notary. We diarise the window from the last registration.
Tax losses lost in the merger
The net-equity cap and the 40% vitality test apply (Art. 172(7) TUIR). We flag both to your tax adviser before drafting.
A total demerger with no designated beneficiary
The first named beneficiary then answers for earlier taxes, the others jointly (Art. 173(13) TUIR). We put the designation in the draft we prepare for the notary's deed.

Why work with FormaItalia
Stefano Colombo
Head of Corporate Structuring, Milan. Italian, English, German.
- No exchange ratio, directors' report or experts' report (Arts. 2505, 2505-bis c.c.).
- Only S.r.l., so the interval and the window halve to 15 and 30 days (Art. 2505-quater c.c.).
- Not a realisation; the tax effect may run from the last year-end (Art. 172(1), (9) TUIR, as in force in 2026).
- Losses pass only within the net-equity cap and vitality test (Art. 172(7)).

Frequently asked questions
Is this debt restructuring or an insolvency procedure?
No. This service covers the solvent reorganisation of an Italian company within a group: conversion, merger, demerger, capital, seat and quota changes, and the voluntary liquidation that ends a structure. Procedures under the Code of Business Crisis and Insolvency (D.Lgs. 14/2019) are outside it, and this page states none of their rules.
Will you tell us which operation to use, and are you a law firm or a notary?
We set out each operation with its conditions, creditor window, tax effect and state charges, and prepare the papers your board adopts; the decision is yours. FormaItalia is not a law firm, a notary or an accounting professional: the notary receives every deed and minute, and an independent expert signs any valuation or experts' report.
What does a restructuring cost, and what does the state charge?
The chambers print a fee and a stamp duty for each filing, which we list line by line and never add into a total; the registration tax is not stated here. The notary's fee has no official scale since the professional tariffs were abolished (Art. 9(1) D.L. 1/2012). Our own fee depends on the operation: pricing on request.
Can our foreign parent take part without travelling to Italy?
Yes, through a representative. In our practice the parent signs a notarial power of attorney, apostilled or legalised and translated into Italian, and the representative attends the notary for the decision and the deed. Attendance by videoconference is not offered for these meetings, so the power of attorney is the route we prepare.
How long before a merger of two Italian companies is effective?
The law sets at least 30 days from the plan's filing to the members' decision, unless all members waive it, then a 60-day creditors' window after the last registration of the decisions. Among S.r.l. only, both halve, to 15 and 30 days; the 30-day filing term does not. The law sets no total, and we promise none.
Can an S.r.l. be converted into an S.p.A., or back, without closing it?
Yes. A notarial deed converts it and the notary files it within 30 days of the deed; the company keeps its rights, obligations and pending proceedings. Converting into an S.p.A. means meeting its EUR 50,000 capital (Art. 2327 c.c.) and its governance and audit rules, the audit rule now being Art. 2396-novies c.c.
Is a conversion, merger or demerger taxed in Italy?
Under the TUIR as in force in 2026, none of the three is a realisation of gains or losses on the companies' assets (Arts. 170, 172 and 173), and the members' exchange of shares is not a realisation apart from cash adjustments. VAT, registration tax and real-estate taxes are not covered here; the numbering changes from 1 January 2027.
Do we need an experts' report if the parent already owns 100% of the company it absorbs?
No. Absorbing a wholly-owned company needs no exchange ratio, no directors' report and no experts' report, and the statute may let the directors of the absorbing company decide the merger (Arts. 2505 and 2505-bis c.c.). Where the absorbing company holds 90%, the experts' report is dropped if the minority is offered a buy-out.
Can the merged companies' tax losses be kept?
Only within limits (Art. 172(7) TUIR, as in force in 2026): losses are usable up to the economic value of the carrying company's net equity, shown by a sworn valuation and reduced by twice the contributions and payments of the last 24 months, and only if its revenue and payroll cost passed 40% of the two earlier years' average.
What is a demerger by hive-down (scissione mediante scorporo)?
A demerger in which the demerged company itself receives the shares of the beneficiary, instead of its members receiving them (Art. 2506.1 c.c.). The TUIR gives the hive-down its own rules, one for a newly formed beneficiary and one for an existing beneficiary (Art. 173(15-ter) and (15-ter.1), as in force in 2026).
How long does a real capital reduction take?
A reduction that returns contributions to members is executed only 90 days after the resolution is entered in the Register, and only if no earlier creditor has opposed in that time (Art. 2482 c.c.). The execution is its own filing; one chamber's 2026 table prints EUR 65 stamp duty and a EUR 90 chamber fee for it.
What happens if losses wipe out the capital?
Where losses exceed one third of the capital, the directors call the members without delay (Art. 2482-bis c.c.). Where they bring the capital below the legal minimum, the members reduce it and raise it at once to at least the minimum, or convert the company; otherwise the company is dissolved (Arts. 2482-ter and 2484 c.c.).
Does moving the registered office need a notary?
Not within the same municipality: the management body files the new address, without a deed (Art. 111-ter disp. att. c.c.). To another municipality, the members' resolution is minuted by a notary under Art. 2436 c.c. and filed by the same notary. One chamber's 2026 table prints EUR 65 stamp duty and a EUR 30 fee for the first case.
How is a transfer of S.r.l. quotas filed?
The deed with authenticated signatures is filed by the notary within 30 days, or a deed signed digitally is filed within 30 days by an authorised intermediary (Art. 2470 c.c.; Art. 36(1-bis) D.L. 112/2008). The transfer counts towards the company from the filing, and a change of sole member is declared by the directors within 30 days.
What is liquidation in Italy?
For a solvent company, the voluntary end: a notarial minute dissolves it and appoints the liquidator, registered within 30 days of acceptance. The final accounts can be challenged for 90 days, then the company is cancelled. For five years after the cancellation request the tax authorities can still assess, and liquidators who distribute before paying taxes answer personally.
