For foreign groups and their advisers

Open a Branch or Subsidiary in Italy for a Foreign Company

Both routes side by side for your board, the parent's documents prepared, the notary and the filings coordinated. The board decides; the notary receives the deed.

  • Branch: 30 days to ask for registration (Art. 2197 c.c.)
  • Subsidiary: the notary files the deed within 10 days (Art. 2330 c.c.)
  • Milan annual fee 2026: EUR 66 a branch, EUR 120 an S.r.l. (Milan chamber)
  • Subsidiary deed in person, by attorney or by videoconference

A subsidiary's deed is signed before a notary in person, by attorney or by videoconference (Art. 2 D.Lgs. 183/2021).

Representative office, branch or subsidiary

Three ways into Italy for a foreign company. A subsidiary follows the Italian company formation process.

Representative office (ufficio di rappresentanza)

Preparatory or auxiliary activity only: no permanent establishment, and a REA-only entry in the chamber's index (Repertorio Economico Amministrativo). A cohesive operation with a closely related enterprise ends the exclusion (Art. 162(4), (4-bis) and (5) TUIR, 2026 text).

Branch (sede secondaria, a secondary seat)

The foreign company itself, acting through a permanent representative (rappresentante stabile) whose name and powers are published in the Register of Companies (Registro delle Imprese), Art. 2508 c.c.

Subsidiary S.r.l.

A separate Italian limited liability company owned by the parent, a legal person from its entry in the Register (Art. 2331 c.c.). Or the parent may choose an existing Italian S.r.l. to take over.

Does the office in Italy do more than preparatory or auxiliary work?

What the set-up includes

What we prepare and coordinate for the parent, and what stays with others.

A decision table for your board

Both routes on liability, capital, filings, tax, accounts and the bank account, one article per line. Your board decides.

The parent's document pack

Board resolution, the signatory's powers, apostille, and the statute in Italian or, for an EU parent, the registration statement.

Italian tax codes

A tax code (codice fiscale) for each individual, requested at a consulate or an Agenzia delle Entrate office, and for the foreign company: with its VAT declaration for a branch, or on form AA5/6 at the Agenzia delle Entrate when it only holds the subsidiary.

The notary, for the deposit or the deed

We prepare and coordinate; the notary receives the subsidiary's deed or, in Milan, the deposit of the branch deed, and signs the Register application.

Filings that follow

The branch's VAT start of activity; the subsidiary's company PEC (certified email) before the deed, single-member notice and beneficial-owner filing.

What stays with others

The deed with the notary, the account with the bank, the return with an Art. 3(3) D.P.R. 322/1998 intermediary (as in force in 2026) or the company. Regulated businesses: financial licensing in Italy.

Branch or subsidiary, criterion by criterion

Each criterion with the article behind it. The table states conditions; the choice stays with your board.

Documents a parent company provides

What the parent produces; more on the documents a foreign shareholder has to legalise.

  • The branch deed and the notary's deposit report (Milan chamber)
  • The current statute in Italian, certified by an Italian court (Milan)
  • For an EU parent instead: a registration statement, with certified translation
  • An apostille under the 1961 Hague Convention, or consular legalisation outside it
  • Italian tax codes for the company and each individual

Typical items, confirmed with the notary for each file:

  • A current extract from the home register, or an equivalent
  • The board resolution, with the signatory's powers
  • Passports of the individuals involved
Hands turning the pages of an open ring binder
In Milan the parent's statute reaches the Register in Italian, the translation certified by an Italian court (Milan chamber).

The Italian entity's bank account

A subsidiary needs no account before an in-person deed: the capital goes to the management body named in the deed (Art. 2464(4) c.c.), or on the online deed to the notary's dedicated account (Art. 2 D.Lgs. 183/2021). A branch's account is in the foreign company's name.

Before the relationship starts (Art. 18 D.Lgs. 231/2007), the bank identifies the entity, the person acting for it (esecutore) and its beneficial owners, natural persons above 25% through the chain (Art. 20). No visit is needed with a notarial deed, a qualified signature, SPID, an eIDAS-notified eID or a consular declaration (Art. 19(1)(a) D.Lgs. 231/2007).

The bank still decides: the Banca d'Italia notes that banks are in general not obliged to accept a request to open an account. We prepare the file for a corporate bank account in Italy.

Problems we solve

Five points in a parent's file, and how we handle each.

The S.r.l.s. is closed to a parent company

The simplified S.r.l. is for natural persons only (Art. 2463-bis c.c.), so we plan from the ordinary S.r.l. and its capital rule.

A sole parent's capital and its 30-day notice

Capital paid in full at the deed, notice filed within 30 days, or the sole member answers on insolvency (Arts. 2462, 2464, 2470 c.c.). Both are in our steps.

The statute translation Milan asks for

The statute in Italian, certified by an Italian court, or an EU parent's registration statement. We arrange it before the deposit.

The branch statement from the 2026 tax period

A certain date by the return deadline and a return schedule (Art. 152 TUIR, text in force in 2026, D.Lgs. 148/2026). We put it in the first-year calendar; an authorised intermediary or the company transmits the return.

A non-EU parent or representative

The notary or chamber checks reciprocity, which reaches foreign legal persons (Art. 16 disp. prel. c.c., the Code's preliminary provisions). A non-EU representative living in Italy needs a listed permit; see the founder visa page.

Why work with FormaItalia

  • Stefano Colombo

Head of Corporate Structuring, Milan. Italian, English, German.

From our practice

on a parent's file we check first whether the parent is EU or non-EU, which decides the registration statement and the reciprocity check, whether its statute needs the court-certified translation, and who signs for the parent at the deed.

Frequently asked questions

Does a branch protect the parent from Italian liabilities?

A branch has no assets of its own in any rule we have read: its obligations are the foreign company's, and an unknown foreign type follows the S.p.A. rules on directors' liability (Art. 2509 c.c.). A subsidiary alone answers; a sole member answers without limit on insolvency if the capital was unpaid or the single-member notice unfiled (Art. 2462 c.c.).

Does a branch need share capital, and what capital does a subsidiary need?

No rule we have read sets a capital minimum for a branch; for tax, Italy attributes it an endowment capital (fondo di dotazione) on OECD criteria (Art. 152(2) TUIR, 2026 text). An S.r.l. needs EUR 10,000, or EUR 1 to below EUR 10,000 paid in full in cash; the S.r.l.s. is open to natural persons only (Art. 2463-bis c.c.).

Which documents of the parent does a branch need?

In Milan, the deed establishing the branch and the notary's deposit report, plus the current statute translated into Italian with a translation certified by an Italian court; an EU parent may give a statement on its registration with a certified translation instead (Milan chamber). Foreign public documents carry an apostille under the 1961 Hague Convention.

Does a branch need an Italian notary?

At the Milan chamber, yes: the foreign company's deed establishing the branch is deposited with an Italian notary, who draws up the deposit report and signs the Register application digitally (Milan chamber page, updated 25 May 2026). We state the rule for Milan; another chamber's practice is checked for each file.

How long do the filings take by law?

A branch has 30 days to ask for registration (Art. 2197 c.c.); Milan counts 30 days from the deposit and 45 from the deed. For a subsidiary the notary files within 10 days (Art. 2330(1) c.c.) and the Register enters it within 10 days of protocol, 5 if electronic (Art. 11(8) D.P.R. 581/1995). We state no turnaround of our own.

What does each route cost the state, and what does your service cost?

The Milan annual chamber fee for 2026 is EUR 66 per branch and EUR 120 for an S.r.l. (Milan chamber). The subsidiary's deed carries EUR 200 registration tax and EUR 156 stamp duty, and its filing a EUR 90 secretarial fee, listed and not added up. Our fee depends on the route and the parent's documents: pricing on request.

Does the Italian entity need a bank account before it exists, and can the director open it without travelling?

Not before an in-person S.r.l. deed: the capital goes to the management body named in the deed (Art. 2464(4) c.c.); on the online deed it is wired to the notary's dedicated account. The law allows identification without a visit (Art. 19(1)(a) D.Lgs. 231/2007), but banks are in general not obliged to accept a request to open an account.

Can a non-EU parent company open a branch or subsidiary in Italy?

Civil rights are granted to foreigners on condition of reciprocity, which extends to foreign legal persons and is disapplied for EU and EEA nationals (Art. 16 disp. prel. c.c.). The notary or the chamber checks it, and the Ministry of Foreign Affairs can verify it on request; the answer for a given country comes from that check.

What is the legal difference between an Italian branch and an Italian subsidiary?

A branch is the foreign company itself, acting in Italy through a permanent representative whose name and powers are published in the Register (Art. 2508 c.c.). A subsidiary is a separate Italian company owned by the parent, which becomes a legal person on its entry in the Register (Art. 2331 c.c.) and answers for its own obligations.

Can the foreign parent be the sole member of the Italian S.r.l.?

Yes. With a single founder the whole cash contribution is paid at the deed (Art. 2464(4) c.c.), and the directors file the sole member's details, including a corporate member's name and State of incorporation, within 30 days of the change (Art. 2470 c.c.). Of the two S.r.l. forms, only the ordinary one is open to a company (Art. 2463-bis c.c.).

How is a branch taxed, and how is a subsidiary taxed?

A branch is a permanent establishment, a succursale being in the list of Art. 162(2)(b) TUIR, and pays IRES at 24% on Italian income (Agenzia delle Entrate), on a separate statement. A subsidiary is an Italian tax resident (Art. 73(3) TUIR); control alone does not make it its parent's permanent establishment (Art. 162(9) TUIR). Both as in force in 2026.

What changes for a branch's accounts from the 2026 tax period?

The branch's separate profit-and-loss and balance statement must take a certain date by the income-tax return deadline, and its data go in a dedicated schedule of the return, from the tax period in progress at 31 December 2026 (Art. 152(1) TUIR as amended by D.Lgs. 148/2026), alongside the separate books of Art. 14 D.P.R. 600/1973 (2026 text).

What tax applies when the subsidiary pays dividends to the parent?

A 26% withholding applies to dividends paid to a non-resident, and a lower rate to a company resident and taxed in an EU or listed EEA State. An EU parent holding at least 10% for one year may obtain a refund or non-application at source on request (Arts. 27, 27-bis D.P.R. 600/1973, 2026 text). A treaty may reduce the rate.

When is a representative office enough?

While its activity stays preparatory or auxiliary, such as storage, display, purchasing or gathering information, a representative office is not a permanent establishment. Beyond that line, or where the combined activity with a closely related enterprise forms part of a cohesive business operation, the office is a permanent establishment (Art. 162(4-bis) and (5) TUIR, text in force in 2026).
