Strategic formation of corporate structures in Italy
About FormaItalia
From one office in Milan, we help foreign groups and founders decide their Italian structure first, then prepare its formation and coordinate the professionals who sign.
The structure before the registration
FormaItalia is the trading name of FormaItalia B.V., one office in Milan working in English and Italian. We work for foreign groups and their in-house teams, founders living outside Italy, regulated businesses entering the EU through Italy, and families arranging how they own a company.
Before any deed is signed, the vehicle, the ownership route, any authorisation and the order of steps are decided. We set out the options with the rule behind each, the client decides, then we prepare and coordinate the execution. Every figure in our guides carries its rule and the date it applies.
What we work on
Seven areas of work, each with its own page.
Choosing the structure
An S.r.l., S.r.l.s. or S.p.A., any holding layer above it, and its capital and governance. See corporate structuring in Italy.
Forming the company
The deed the notary receives, the tax codes, the company PEC (certified email), the Register filing and the registered office. See forming an Italian S.r.l..
Foreign parents and owners
A branch or subsidiary, a foreign-owned company, shares held through an authorised società fiduciaria (fiduciary company), and the documents a bank asks for. See a branch or a subsidiary in Italy.
Existing companies
Taking over a ready-made S.r.l., conversions, mergers, capital changes and voluntary liquidation. See ready-made Italian companies.
Licences and intellectual property
The crypto-asset, e-money or payment-institution file the client lodges, and trade mark and patent filings. See financial licensing in Italy.
Tax and compliance
VAT for a company established abroad, bookkeeping, yearly accounts and returns, and payroll run by an enrolled professional we coordinate. See Italian accounting and compliance.
Founders who move
The visa and permit route that follows the company, for the founder and the people they bring. See a residence route for a company founder.
How we work with a client
Understand the plan
The group or founder, the business, where owners and directors live, and what must be in place first.
Set out the options
Each route with its conditions and the rule it rests on; the client makes the choice.
Prepare and coordinate
The documents and the order of work with the notary, the authorised intermediary, the authority or the bank.
Keep it running
The yearly filings, later changes to the company, and the next decision the structure raises.
What we are not, and who acts in their own name
- We are not a law firm, and no one here practises as an avvocato (lawyer).
- We are not a notary: a notary receives the deeds that require one, in their own name.
- We are not a dottore commercialista (chartered accountant); no one here uses that title.
- We are not a revisore legale (statutory auditor), and we do not offer the statutory audit.
- We are not a consulente del lavoro (labour consultant); an enrolled one runs payroll.
- We are not an authorised società fiduciaria; shares held for a client sit with one.
- We are not a bank or an authority; they decide on accounts, licences and visas.
We prepare the work and coordinate the notary, the authorised intermediary who transmits tax returns and the enrolled professionals, each of whom signs in their own name.
The people behind each file
Four people in the Milan office, one per area: Stefano Colombo, Head of Corporate Structuring; Elena Riva, Formation and Register Lead; Andrea Sala, Tax and Cross-Border Compliance Lead; and Silvia Brivio, Regulatory and Founder Mobility Lead. Their backgrounds and languages are on the team page.
Where we work
Clients abroad work with our one Milan office in English or Italian, Monday to Friday, 09:00 to 18:00, Milan time. To discuss a structure, write to us through the contact page.
