fiduciary mandate

Fiduciary Mandate in Italy through an Authorised Fiduciary Company

We plan how the quotas of your Italian company are held before the deed, and coordinate the authorised fiduciary, the notary and the director.

  • Holding quotas for clients needs MIMIT authorisation (Art. 2 L. 1966/1939)
  • The fiduciary is not the beneficial owner (Art. 20(2)(b) D.Lgs. 231/2007)
  • A resident director is a real appointment, filed within 30 days

Who holds the quotas, who is filed as owner and who directs: settled before the deed.

The ownership route, decided before the deed

For a foreign group, family office or non-resident founder holding an Italian S.r.l., how the quotas are held is decided before the notary is instructed. A group still deciding whether to open a branch or subsidiary in Italy settles that first.

Holding quotas for clients as a business is reserved to a società fiduciaria (fiduciary company) authorised by ministerial decree (Art. 2 L. 1966/1939). We are not one and never hold quotas. We plan the route and coordinate the fiduciary you choose, the notary and the director.

What's included

What we prepare, and what stays with others.

The route mapped before the deed

Directly, through an Italian holding, through an authorised fiduciary, or a combination, each with its conditions. The choice stays yours.

The fiduciary checked

The MIMIT list of authorised fiduciary companies (edition of 21 July 2026), the authorisation's scope and, where it applies, the Art. 106 TUB register.

The client file for due diligence

The written information the fiduciary must receive (Art. 22(1) D.Lgs. 231/2007), prepared with you, with the identity and company papers each fiduciary and notary lists.

The holder-of-record step coordinated

A new company's deed with the fiduciary as member, where the fiduciary agrees to it, or existing quotas moved by a cessione di quote (quota transfer).

The filings that follow

The sole-member notice, the director's appointment and the beneficial-owner filing, which a director signs personally.

What stays with others

The fiduciary holds the quotas and decides whether to accept you; the notary receives the deed. We promise no secrecy and no time, and supply no director in name only.

Three ways to hold the quotas

Each route's conditions, with their articles. Which fits belongs to corporate structuring in Italy and is decided in a conversation.

Conditions only. TUIR articles are valid to 31 December 2026; D.Lgs. 117/2026 renumbers them from 1 January 2027.

The resident director: a real appointment

What the office involves.

The deed must allow it

An S.r.l. is managed by its members unless the deed provides otherwise, so a non-member director needs such a deed or a notarial amendment (Art. 2475 c.c.).

Filed by name within 30 days

Name, birth, domicile and citizenship (Art. 2383(4) c.c.). The Civil Code articles on directors set no residence condition for an ordinary S.r.l.

Tools of their own

A codice fiscale (tax code) and a qualified digital signature; a sole or managing director (failing those, the chairman) also needs a personal PEC (certified email), distinct from the company's (Art. 13(3) D.L. 159/2025).

Duties and liability

Draft accounts and the beneficial-owner filing stay with the director, even where an accounting firm in Italy keeps the books, and the director answers under Art. 2476 c.c.

A closed laptop, an open notebook and a glass of water on a dark desk
The director's own tax code and digital signature, and where required a personal PEC, are ready by the appointment.

Problems we solve

Where a route goes wrong, and how we handle it.

"A provider offered a nominee shareholder"

Only a fiduciary authorised by ministerial decree may hold quotas for clients as a business, Italian branches of foreign companies included (Arts. 1 and 2 L. 1966/1939). We check the MIMIT list and the scope with you.

"I expected the fiduciary to hide the owner"

The fiduciary identifies you and the company files you as beneficial owner. Since 23 July 2026 the data reach authorities, accredited obliged entities and persons with a legitimate interest, not the public (D.Lgs. 122/2026).

"The quotas are already in my name"

A quota transfer filed within 30 days, with the 2026 charges above; it is also the deed behind what a buyer takes over with a ready-made Italian company.

"The fiduciary will hold 100 per cent"

The company becomes single-member: notice within 30 days, or the sole member answers without limit on insolvency (Arts. 2470 and 2462(2) c.c.). We plan it.

"The directors asked who the owner is"

A member that unjustifiably withholds the information, or gives plainly fraudulent information, cannot vote, and resolutions passed with its decisive vote can be challenged (Art. 22(3) D.Lgs. 231/2007). The client file answers in advance.

Moving quotas you already hold to a fiduciary?

The transfer, the sole-member notice and the director's filing are planned together, before anything is signed.

Why work with us

  • Stefano Colombo

Head of Corporate Structuring, Milan. Italian, English, German.

From our practice

, a worked example: a foreign parent wants a new S.r.l.'s quotas held through an authorised fiduciary. We check the fiduciary, prepare the client file and coordinate the notary, the sole-member notice and the beneficial-owner filing.

Frequently asked questions

Can any company or person hold my Italian quotas as a nominee?

Not as a business. A fiduciary company may not begin operations without authorisation by ministerial decree (Art. 2 L. 1966/1939), and a foreign trust company with an Italian branch is under the same law (Art. 1(3)). The member is whoever the Register records (Art. 2470 c.c.). An unregulated nominee shareholder is not a category Italian law recognises.

Does a fiduciary hide who owns the company?

From the general public, largely: since 23 July 2026 the beneficial-owner data are open to authorities, accredited obliged entities and persons with a legitimate interest (D.Lgs. 122/2026). From the State, no. The fiduciary identifies its client, and more than 25 per cent held through a fiduciary company indicates indirect ownership by the person behind it (Art. 20(2)(b) D.Lgs. 231/2007).

Who files the beneficial owner when a fiduciary holds the quotas?

A director of the company, signing personally; a special power of attorney is not allowed (Register of Companies portal). The person filed is the client, not the fiduciary. Whether the fiduciary must also file is not settled by the statute, and the terms of the filing are set by ministerial decree (Art. 21(5)(a) D.Lgs. 231/2007).

Do I need an Italian-resident director?

The Civil Code articles on directors set no residence condition for an ordinary S.r.l. director; they require the name, place and date of birth, domicile and citizenship to be filed within 30 days (Art. 2383(4) c.c.). A resident director is a practical choice, and the office carries full duties and liability. The rules of a regulated sector are checked separately.

Is a resident director the same as a nominee director?

No. Italian law has no nominee-director office: every director is filed by name and answers under Art. 2476 c.c.; the management body draws up the draft accounts, and a director signs the beneficial-owner filing personally. A resident director is appointed by the members, with full powers and liability. We do not supply a director, and never one in name only.

How long does it take?

Only statutory terms are given. The notary files a deed of incorporation within 10 days (Art. 2330(1) c.c.); the Register enters a filing within 10 days of protocol, 5 if electronic (Art. 11(8) D.P.R. 581/1995); a quota transfer and the sole-member notice are filed within 30 days. The fiduciary's own checks have no statutory term, and we promise no total.

What does it cost, and what does the State charge?

Our fee is on request and depends on whether the company is new and a director is appointed. The 2026 Romagna chamber tables list EUR 15.00 through the MUI and EUR 65.00 stamp duty for a quota transfer, and EUR 90 secretarial fees with EUR 65 on the chamber lines. No total is given; the notary's fee has no official scale.

What is a fiduciary mandate (mandato fiduciario) in Italy?

A contract under which an authorised società fiduciaria holds assets, here company quotas, in its own name on the client's behalf. Fiduciary companies are those that set out, as a business, to administer assets for third parties (Art. 1(1) L. 1966/1939). The terms of the mandate, such as voting, dividends, transfer and termination, are agreed between the parties.

What is the difference between holding quotas directly and through a fiduciary?

Towards the company, the member is the holder of record on the Register (Art. 2470(1) c.c.): you if held directly, the fiduciary under a fiduciary mandate. Either way, a natural person holding more than 25 per cent, directly or through a fiduciary, is indicated as beneficial owner and filed as such by a director (Art. 20(2)(a)-(b) D.Lgs. 231/2007).

How do I check that a fiduciary is authorised, and who supervises it?

Against the MIMIT list (edition of 21 July 2026) and the authorisation's scope; MIMIT authorises and supervises, inspections included. A securities fiduciary controlled by a bank or financial intermediary, or an S.p.A. with at least double the minimum capital, is entered in the separate section of the Art. 106 TUB register, under Banca d'Italia anti-money-laundering enforcement (Art. 199(2) TUF).

What if the fiduciary or the client will not tell the directors who the owner is?

A member that unjustifiably refuses or stays silent when the directors ask for the beneficial-owner information, or gives plainly fraudulent information, cannot exercise its vote. Resolutions passed with its decisive vote can be challenged under Art. 2377 c.c. (Art. 22(3) D.Lgs. 231/2007). On the Register that member is the fiduciary, so the client file answers in advance.

How do existing quotas move to the fiduciary?

By a cessione di quote: a deed with authenticated signatures filed by the notary within 30 days (Art. 2470(2) c.c.), or a digitally signed deed filed within 30 days by an authorised intermediary (Art. 36(1-bis) D.L. 112/2008). It has effect towards the company from the filing. At 100 per cent, the sole-member notice follows within 30 days.

Fiduciary or holding company?

They answer different questions. An Italian holding has its own tax regimes: 95 per cent exemption on qualifying gains and 95 per cent dividend exclusion, under conditions (Arts. 87 and 89 TUIR, as in force in 2026). A fiduciary holding has no tax effect of its own, on our working reading. Which suits a group is decided with you.

Can I set up my own fiduciary for one deal?

Not realistically. A fiduciary company must first be incorporated and entered in the Register of Companies, then apply to MIMIT; the procedure runs 120 days, after which silent consent applies. The authorisation is revocable for serious reasons (Art. 2 L. 1966/1939). The practical route is a mandate with a fiduciary already on the MIMIT list.
