What a ready-made company is in Italy

A ready-made company is an existing S.r.l. on the Registro delle imprese, the Register of Companies, that has never traded. Its quotas pass to the buyer by a cessione di quote, freely unless the deed of incorporation says otherwise (Art. 2469(1) of the Civil Code). It is an alternative to company formation in Italy, not a trading business.

The company already has legal personality, which a new S.r.l. acquires only on registration (Art. 2331 Civil Code). Its articles stay as they are unless a notary amends them (Art. 2480 Civil Code). The transfer binds the company from its filing with the Register, not from the signature (Art. 2470(1) Civil Code).

The company comes with its own record: the deed, the articles and the filings already on the Register.

What is included in the transfer

What passes with the quotas, and what is filed after.

Comes with the company

  • All the quotas, transferred by a cessione di quote.
  • A company already on the Register, with legal personality (Art. 2331 Civil Code).
  • Its deed of incorporation and articles as they stand, transfer clauses included.
  • Its seat in the municipality the deed names (Art. 2463(2) no. 2 Civil Code).
  • Its Register history, readable on a visura storica, the historical extract.
  • Its filing record: deposited accounts and, with a VAT number, annual VAT returns.

Still to do after the transfer

  • The sole-member or restored-plurality declaration, within 30 days (Art. 2470(4) Civil Code).
  • New directors, and the sole or managing director's personal PEC (certified email).
  • The new beneficial owner, filed electronically with the Register.
  • Accounts within 30 days of approval (Art. 2478-bis(2) Civil Code): Italian accounting and compliance.
  • Planning a regulated activity? See a licence for a regulated business in Italy.

How the acquisition works

Who acts at each step, and the term the law sets.

  1. Decide who holds it and what changes

A company buyer takes an ordinary S.r.l., as an S.r.l.s. is formed by natural persons (Art. 2463-bis(1) Civil Code); a non-EU holder needs reciprocity (Art. 16 disp. prel.).

  2. We read the company's records

Register extracts, accounts, VAT returns, unpaid capital, attachments, dissolution entries and, where an INPS or INAIL position exists, the DURC (contribution-standing certificate). See the Italian business register guide.

  3. Gather the buyer's documents

Tax codes for incoming members and directors; a passport, or a company's proof of standing and board resolution, as the notary asks; foreign papers legalised or apostilled, and translated (Ministry of Foreign Affairs).

  4. Choose the signing route

A notary authenticates the signatures (Art. 2470(2) Civil Code), or each party signs digitally and an enrolled commercialista files (Art. 36(1-bis) D.L. 112/2008). The deed's tax treatment is the same.

  5. Sign the cessione di quote

Seller and buyer sign the deed, before the notary or each with a digital signature. We prepare the papers and coordinate the parties; the notary or the commercialista files.

  6. File within 30 days

The deed goes to the Register of the seat, and the transfer binds the company from that filing (Art. 2470(1) and (2) Civil Code).

  7. File the sole member and the new directors

The declaration within 30 days of the change (Art. 2470(4) Civil Code); new directors within 30 days of notice (Art. 2383(4) Civil Code), with the personal PEC.

  8. Amend the articles if needed, and file the beneficial owner

A notary receives any amendment; a capital increase waits for unpaid contributions (Art. 2481(2) Civil Code). See restructuring an Italian company.

Found a company on the list?

Send us the reference from the list. We read the company's records with you before anything is signed.

Five rules that decide what a buyer takes on.

The form decides who can buy. An S.r.l.s. is for natural persons only, so a company buyer takes an ordinary S.r.l. (Art. 2463-bis(1) Civil Code). Weighing a branch instead: the branch or subsidiary set-up page.

The filing decides, not the signature. The transfer binds the company from its filing; in a double sale, the buyer whose transfer is first entered in the Register in good faith is preferred (Art. 2470(1) and (3) Civil Code).

The sole member's exposure. Until the sole-member declaration is filed, a sole member answers without limit for that period's obligations if the company becomes insolvent (Art. 2462(2) Civil Code).

Directors' PEC and the beneficial owner. The personal PEC of the sole director, the managing director or, failing those, the chair may not be the company's (Art. 13(3) D.L. 159/2025). Omitting the beneficial owner carries the Art. 2630 Civil Code sanction (Art. 21(1) D.Lgs. 231/2007); the chambers report no term running.

Dormancy and proof. Five consecutive years without accounts or management acts, plus a second circumstance, dissolve a capital company (Art. 40 D.L. 76/2020). A visura informs; a certificate proves. Closing one: our company liquidation service.

Frequently asked questions about ready-made companies

Can a foreign parent company or an Italian holding be the buyer?

Yes, of an ordinary S.r.l. An S.r.l.s. is formed by natural persons only (Art. 2463-bis(1) Civil Code), so it cannot sit under a company, and our list offers ordinary S.r.l. only. A non-EU buyer, a legal person included, holds quotas on condition of reciprocity (Art. 16 disp. prel. Civil Code); this page names no country as meeting it.

Do your checks guarantee the company carries no hidden liabilities?

No check can guarantee that. Our checks read public records: the visura ordinaria and storica, the deposited accounts, the VAT returns, unpaid capital, attachments on the quota, dissolution entries and, where the company has an INPS or INAIL position, the DURC. A visura gives information, not certification; where proof is required, the document is the certificato camerale.

What happens if the sole-member declaration is filed late?

The declaration is due within 30 days of the change in membership (Art. 2470(4) Civil Code). Until that publicity is made, a sole member answers without limit for the company's obligations of the single-member period if the company becomes insolvent (Art. 2462(2) Civil Code). Filed together with the transfer, the Romagna chamber's fee table prints 90 + 90.

Is a notary needed to take over the company?

Not for the transfer on the digital route: each party signs digitally, and an enrolled commercialista files the deed within 30 days (Art. 36(1-bis) D.L. 112/2008). On the notarial route, the notary authenticates the signatures and files within 30 days (Art. 2470(2) Civil Code). A change of the articles needs a notary on either route.

Is taking over faster than forming?

A transfer and each notice may be filed within 30 days (Art. 2470 Civil Code). A notary files a new company's deed within 10 days (Art. 2330(1) Civil Code); the Register enters it within 10 days, halved for an electronic application (Art. 11(8) D.P.R. 581/1995). No statute makes either route a fixed short operation, and we promise none.

What does the state charge on a takeover?

The Romagna chamber's tables print stamp duty of EUR 15,00 and EUR 65,00 on the quota-transfer line, a chamber fee of 90 (90 + 90 with the sole-member notice), and stamp duty of 65 and a fee of 90 for a change of directors. No total is given; the registration tax is not settled. A new company's deed carries EUR 156,00.

What exactly is a ready-made S.r.l.?

An S.r.l. already entered in the Register of Companies that has never traded, whose quotas pass to the buyer by a cessione di quote. Quotas are freely transferable unless the deed of incorporation says otherwise (Art. 2469(1) Civil Code). It is not an operating business, and the price of each company is the one on the list.

When do we actually own it?

Towards the company, from the filing of the transfer deed with the Register of the seat (Art. 2470(1) Civil Code). If the same quota were sold twice, the buyer first entered in the Register in good faith is preferred (Art. 2470(3) Civil Code). So the filing, not the signature, decides; the notary or the commercialista files within 30 days.

Which changes after the takeover need a notary?

Those that amend the articles: a new name, a new object, a new capital or a seat in another municipality (Art. 2480 Civil Code). The deed states the seat by municipality only, so a move inside the same municipality is a filing (Art. 2463(2) no. 2 Civil Code), and so is the appointment of new directors.

What must be filed after the transfer, and by when?

The sole-member or restored-plurality declaration within 30 days of the change (Art. 2470 Civil Code); the new directors within 30 days of notice of appointment (Art. 2383(4) Civil Code), with the personal PEC of the sole or managing director; and the new beneficial owner (Art. 21(1) D.Lgs. 231/2007), for which the chambers report no term running.

What do we check before signing?

The visura ordinaria and storica (EUR 5.00 and EUR 6.00 for a capital company); the deposited accounts; the VAT returns, due even without taxable operations (Art. 8(1) D.P.R. 322/1998, as in force in 2026); unpaid capital; any attachment on the quota (Art. 2471(1) Civil Code); dissolution entries; and, where a position exists, the DURC, valid 120 days.

Can a dormant company be struck off before we use it?

Only after five consecutive years without deposited accounts or management acts, together with a second circumstance, such as capital still entered in lire. The directors then have 60 days to ask to continue before the conservatore, the Register's officer, strikes the company off (Art. 40 D.L. 76/2020). A recently formed S.r.l. is not exposed on that ground.

Is there an LLC in Italy?

Yes. The società a responsabilità limitata, the S.r.l., is Italy's limited-liability company, and its deed of incorporation is a notarial public deed (Art. 2463 Civil Code). The ready-made companies on our list are existing ordinary S.r.l.; the S.r.l.s., the simplified form, is reserved to natural persons (Art. 2463-bis(1) Civil Code).

Shall we read a company's records together?

Tell us who will hold the company and what will change. We set out the form, the signing route and the filings that follow.
